Effective Date · 17 June 2025 Welcome to Character Alarm (the “App”), provided by Character Alarm Ltd. (“Character Alarm,” “we,” “us,” or “our”). These Terms of Service (“Terms”) form a legally binding agreement between you and us. By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App. 1. Eligibility You must be at least 13 years old (or the minimum digital-consent age in your jurisdiction) to use the App. By using the App, you confirm that you meet this requirement and that you can form a binding contract with us. 2. License & Intellectual Property - Limited licence: We grant you a personal, non-exclusive, revocable, non-transferable licence to install and use one copy of the App on an iOS device that you own or control, solely for private, non-commercial purposes. - Ownership: All software, artwork, characters, audio, and other content in the App are owned by Character Alarm or its licensors and are protected by intellectual-property laws. Except for the limited licence above, no rights are granted to you. 3. App Features Character Alarm lets you create alarms and make an appointment with character. And receive CallKit VoIP calls voiced by virtual characters. 4. User Conduct You agree not to: 1. Reverse-engineer, decompile, or attempt to extract the App’s source code; 2. Use the App to harass, threaten, or violate the rights of others; 3. Upload malicious code, interfere with networks, or abuse system resources; 4. Violate any applicable laws or regulations; 5. Commercially exploit the App without our prior written consent. 6. User-Generated Content If you upload or record audio (“User Content”), you retain ownership, but grant us a worldwide, royalty-free licence only as necessary to operate and provide the App’s features. You are solely responsible for your User Content. 7. Privacy Our Privacy Policy explains how we collect and use data. By using the App you consent to those practices. 8. Disclaimers - The App is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. - We do not guarantee that alarms will trigger at the exact intended moment under every circumstance (e.g., device settings, battery state, network outages). 9. Limitation of Liability To the maximum extent permitted by law, Character Alarm will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business opportunities, arising out of or related to your use of the App. 10. Indemnification You agree to indemnify and hold harmless Character Alarm, its directors, employees, and affiliates from any claims, damages, or expenses arising from your breach of these Terms or misuse of the App. 11. Termination We may suspend or terminate your access to the App at any time, with or without notice, if you violate these Terms or pose a risk to other users. Upon termination, Sections 2, 8–12 survive. 12. Governing Law & Venue Unless your local law requires otherwise, these Terms are governed by the laws of Hong Kong SAR without regard to conflict-of-law principles. You and Character Alarm agree to submit to the exclusive jurisdiction of the courts located in Hong Kong for any dispute not subject to arbitration (below). 13. Dispute Resolution – Arbitration (Optional for EEA/UK) For users outside the EEA/UK, any dispute arising out of these Terms shall be finally settled by binding arbitration under HKIAC Rules in Hong Kong, in English, with one arbitrator. You and Character Alarm waive the right to a jury trial or to participate in class actions. 14. Changes to These Terms We may update these Terms occasionally. Material changes will be announced in-app or on this page and become effective upon posting. Continued use of the App after changes means you accept the revised Terms. 15.
